Denlea & Carton LLP represented Raz Itzhaki and Eyal Golan, members and managers of Shleppers Holdings LLC, in litigation arising from a breakdown in the relationship among the five owners of a closely held moving and storage business. The dispute involved management authority, compensation, the LLC operating agreement, alleged breaches of contract and fiduciary duties, related-party business transactions, failed efforts to resolve the owners’ differences through a buyout or amended operating agreement, and a counterclaim seeking judicial dissolution. During the litigation, the court denied an effort to dismiss the clients’ breach-of-contract counterclaim and later denied the opposing member’s requests for a preliminary injunction and $763,473 prejudgment attachment
